Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the websites, software, and digital products provided by Logix4U ("Logix4U", "we", "us"). By purchasing, downloading, or using any of our products, you agree to these Terms. If you do not agree, do not use the products.

2. What we provide

Logix4U supplies hosted data pipelines and related software intended to automate repetitive business processes — reconciliation, data cleansing, metric tracking, and reporting. Everything is delivered electronically. No physical goods are shipped. The specific pipelines, systems, limits, and support level that apply to you are the ones set out in writing between us before you subscribe.

3. Accounts and access

Where a product gives you access credentials, you are responsible for keeping them confidential and for all activity under them. Tell us promptly at support@logix4u.com if you believe your access has been compromised. You must provide accurate information and be legally able to enter into this agreement.

3a. Your data

To run a pipeline we process data from the systems you connect us to. You keep ownership of that data. We use it only to operate the pipeline you have asked for and to support it, and we do not sell it or use it to train anything. Our handling of personal information is described in our Privacy Policy.

4. License

Subject to these Terms and to your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the products for your own internal business purposes. You may not resell, sublicense, redistribute, or make the products available to third parties as a service unless we agree in writing.

You may not reverse engineer, decompile, or attempt to derive source code from the products except to the extent that restriction is prohibited by applicable law.

5. Fees, billing, and renewal

Current plan prices are published on our Pricing page, in US dollars, billed monthly. The price, the number of pipelines, and anything agreed beyond a standard plan are confirmed to you in writing before your first charge.

Payment is processed by Stripe; we do not store your full card details. See our Privacy Policy for how payment data is handled.

Subscriptions renew automatically at the end of each monthly billing period at the then-current price, until canceled. By subscribing you authorize us to charge your payment method on each renewal. We will make the billing interval and amount clear before you purchase, and we will give reasonable notice by email before any price change takes effect for you.

Taxes are added where required by law based on your location.

6. Cancellation and refunds

You may cancel at any time by emailing support@logix4u.com. We will confirm the cancellation in writing. Cancellation stops future renewals and takes effect at the end of the billing period you have already paid for. Canceling is free, and we do not pro-rate partial periods except where required by law.

You may request a full refund within 14 days of your original purchase. The full terms — the refund window, when a refund may not be available, and what happens on renewal — are set out in our Refunds & Cancellations policy, which forms part of these Terms. Nothing in that policy removes rights you have under applicable law that cannot be excluded by agreement.

6a. Fair use, throttling, and extra credits

Plans are sized for normal business use. A standard plan assumes pipelines of up to 100 nodes — a node being a single step within a pipeline, such as a fetch, a transform, a match, or a write — each running no more often than once every 15 minutes.

Where usage goes materially beyond that, we may throttle the affected pipelines: reducing how often they run, or queuing work, so that one account's load does not degrade the service for others. Throttling slows processing down; queued work is not discarded. We will notify you at the email address on your account before we throttle a pipeline, except where an immediate limit is needed to protect the platform or a third-party system we are connected to.

If you need capacity above the fair-use levels, you can purchase additional credits on an as-needed basis instead of changing plan. Credits are quoted to you in writing and are only charged once you have accepted the rate. Credits are consumed by usage above your plan's fair-use levels; unused credits are not refundable once consumed, and otherwise fall under our Refunds & Cancellations policy.

We may change fair-use levels or credit rates on reasonable notice by email, in line with section 13.

7. Acceptable use

You agree not to use the products to break the law, infringe anyone's rights, transmit malware, attempt to gain unauthorized access to any system, or interfere with the operation or security of our services or those of other users. We may suspend access where we reasonably believe this section has been breached.

8. Intellectual property

We retain all right, title, and interest in the products, including all intellectual property rights. These Terms grant you a license, not a sale. You retain ownership of any data you supply to or process through the products.

9. Third-party services

Our products may connect to third-party systems at your direction. We are not responsible for those third-party services, their availability, or their terms. Your use of them is governed by their own agreements.

10. Warranty disclaimer

Except where prohibited by law, the products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the products will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Logix4U will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to your use of the products. Our total aggregate liability arising out of these Terms will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Termination

You may stop using the products at any time. We may suspend or terminate your access if you materially breach these Terms, or if required by law. Sections that by their nature should survive termination will survive.

13. Changes

We may update these Terms from time to time. Where changes are material we will give reasonable notice, for example by email or a notice on this site, before they take effect. Continued use after the effective date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The courts of the State of New York will have exclusive jurisdiction over any dispute arising from them.
